1. Website terms of use

This website is operated by Orbis Capital (BVI) Ltd. By using it you accept these terms. The content is provided for general information about our services. We may change the site or these terms at any time.

The content, layout, text and graphics on this site belong to us or to our licensors. You may read and print pages for your own use, but you may not reproduce or republish them commercially without our written permission.

2. No offer, no advice

Nothing on this website constitutes an offer or solicitation to buy or sell any security or financial instrument, an invitation to invest, or investment, legal, tax or accounting advice. You should take your own professional advice before entering into any transaction.

3. Project submission terms

When you submit a project through this website:

• You confirm that you are authorised to submit the project and to share the information you provide.
• You confirm the information is accurate and not misleading to the best of your knowledge.
• You authorise us to review the submission and, where appropriate, to share it with prospective capital providers under confidentiality and appropriate due-diligence procedures.
• You accept that we do not guarantee a review within any particular period, and that we may decline to take a submission further without giving reasons.
• You accept that we do not guarantee that any project will receive funding.

We do not charge project sponsors to review a preliminary submission. Any fee arrangement that may apply if a transaction proceeds will be agreed in writing, in advance, in a separate engagement document. No fee is payable on the basis of this website alone.

4. Capital-provider mandates

Where you share investment criteria with us, you confirm you are authorised to do so on behalf of the organisation named. We record those criteria for the purpose of matching opportunities against them. Sharing a mandate places no obligation on you to consider, review or fund any opportunity, and places no obligation on us to send you any.

5. Our role

We are an origination and advisory platform. We introduce and facilitate. We do not hold, receive, manage or control client funds through this website, we do not act as a party to any financing, and we do not conduct the due diligence on which a capital provider relies. All commercial, legal, financial and technical due diligence is the responsibility of the capital provider and its advisers. Every financing decision is the capital provider's alone.

6. Confidentiality

We treat project information as confidential and share it only as described in our privacy notice. Where a project requires a formal non-disclosure agreement before information is shared, tell us and we will put one in place before circulating anything.

7. Third-party links

Where this site links to a third-party website, we are not responsible for its content or its practices.

8. Liability

To the fullest extent permitted by law, we are not liable for any loss arising from reliance on the content of this website, from the use or unavailability of the site, or from any decision taken by a capital provider or a project sponsor. Nothing in these terms excludes liability that cannot lawfully be excluded.

9. Governing law

These terms are governed by the laws of the British Virgin Islands, and the courts of the British Virgin Islands have jurisdiction over any dispute arising from them.
